Clear terms for a compliance platform.

These Terms of Use describe the general rules that apply when someone visits the COI DASH website, requests access to the platform, or uses the service as an authorized account user. COI DASH is a tool that helps you organize and review Certificates of Insurance — it does not make compliance decisions for you. Please read the sections on your responsibilities, disclaimers, and limitation of liability carefully, as they define how the service may be used and the limits of our responsibility. These terms should be refined with legal counsel before production launch.

Authorized access

Only approved customers and invited users may access protected platform areas, and each organization is responsible for its user administration.

You own the decision

COI DASH helps you review Certificates of Insurance, but you are responsible for confirming that any certificate actually meets your requirements. A compliance result from the platform is a guide, not a final determination.

Use limits

The service may not be used to break the law, interfere with operations, scrape protected data, or misuse another party’s information.

Acceptance of these terms

The COI DASH website and platform (the “service”) are owned and operated by OneSpring LLC, a Georgia limited liability company. In these terms, “COI DASH,” “we,” “us,” and “our” refer to OneSpring LLC.

By accessing the COI DASH website or using the platform, you agree to these Terms of Use and any additional agreement that governs your organization’s subscription or pilot environment. If you are using the service on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these terms. If you do not agree to these terms, do not access or use the website or the service.

Services and eligibility

COI DASH provides a software platform for requesting, organizing, reviewing, and monitoring Certificates of Insurance and related vendor compliance records. The platform compares the certificates and information you provide against requirements you configure, and surfaces results to help you review them. These results are informational and are intended to assist — not replace — your own review.

We may modify, enhance, suspend, or discontinue parts of the website or service at any time, including beta features or early-access tools. You may use the service only if you are legally permitted to do so and, where applicable, are acting on behalf of an organization with a valid right to access the platform.

Accounts, credentials, and customer responsibilities

You are responsible for maintaining the confidentiality of account credentials and for all activity that occurs under your account. Customers are responsible for assigning appropriate user roles, reviewing permissions, and ensuring that the data they upload or manage through COI DASH can be lawfully processed.

Customers and users must provide accurate information, keep account details up to date, and promptly notify us of any unauthorized access, suspected compromise, or misuse.

Your responsibility for compliance decisions

COI DASH is a tool that supports your review of Certificates of Insurance. It does not provide insurance, legal, or professional advice, and it does not decide whether a vendor or certificate is acceptable for your purposes.

You are solely responsible for determining whether any certificate, policy, coverage amount, endorsement, additional-insured status, or insurer actually satisfies your requirements and obligations. A “compliant,” “non-compliant,” or similar indicator generated by the platform is a starting point for your review — it may not capture every requirement, exclusion, endorsement, expiration, or policy nuance, and it does not constitute confirmation that coverage is valid or adequate.

Before relying on a certificate — including before onboarding, paying, or continuing to work with a vendor — you are responsible for independently confirming that it meets your needs. You accept the risk of any decision you make using the service.

Acceptable use

You may not use COI DASH to:

  • Violate applicable law, regulation, court order, or third-party rights.
  • Upload malicious code, attempt to gain unauthorized access, or disrupt platform availability or security.
  • Copy, reverse engineer, scrape, frame, or build a competing service using non-public portions of the platform except where such restriction is prohibited by law.
  • Submit content that you do not have the right to use, store, or disclose.
  • Use the platform in a way that threatens the confidentiality, integrity, or availability of customer or vendor data.

Intellectual property and feedback

COI DASH and its related website content, branding, interface design, software, workflows, and documentation are owned by COI DASH or its licensors and are protected by applicable intellectual property laws. Except for the limited rights granted to use the service, no ownership rights are transferred to you.

If you provide suggestions, enhancement requests, or other feedback, we may use that feedback without restriction or obligation, provided we do not publicly identify you as the source without permission.

Disclaimers

The website and service are provided on an “as is” and “as available” basis except to the extent otherwise stated in a signed agreement. To the maximum extent permitted by law, COI DASH disclaims all warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the service will be uninterrupted, secure, or error-free, or that any compliance result, calculation, or output will be accurate, current, or complete.

The platform compares information against the requirements you configure using automated logic. These results may contain errors and may not reflect every requirement, exclusion, endorsement, or policy detail. COI DASH does not replace legal advice, insurance advice, or independent review by qualified professionals. Customers remain responsible for determining whether coverage requirements, policy language, endorsements, and vendor relationships satisfy their own business and regulatory obligations.

Limitation of liability

To the maximum extent permitted by law, COI DASH and its affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, data, or business opportunities arising from or relating to use of the website or service — including any decision made, or not made, in reliance on a compliance result.

To the maximum extent permitted by law, the total aggregate liability of COI DASH and its affiliates for all claims relating to the website or service will not exceed the greater of (a) the total fees you paid to COI DASH for the service in the twelve months before the event giving rise to the claim, or (b) US $100. Some jurisdictions do not allow certain limitations, so portions of this section may not apply to you.

Indemnification

You agree to defend, indemnify, and hold harmless COI DASH and its affiliates from any third-party claims, losses, or expenses (including reasonable legal fees) arising from your content, your use of the service, your compliance or vendor decisions, or your violation of these terms or applicable law.

Termination

We may suspend or terminate access if we reasonably believe these terms have been violated, the service is being misused, a security issue exists, or continued access could create risk for customers, vendors, or the platform. Sections that by their nature should survive termination — including disclaimers, limitation of liability, indemnification, and intellectual property — will continue to apply.

Governing terms and contact

These Terms of Use may be updated from time to time. The latest version posted on this page will apply to future use after publication unless a separate written agreement says otherwise. If a signed subscription or pilot agreement conflicts with these terms, that signed agreement controls.

These terms are governed by the laws of the State of Georgia, without regard to its conflict-of-laws rules, and any dispute will be resolved in the state or federal courts located in Georgia. If any provision is found unenforceable, the remaining provisions stay in effect, and our failure to enforce any provision is not a waiver of it.
